STEPHEN GOLDSTEIN  has a broad-based, sophisticated corporate practice, representing public and privately held companies of all sizes, domestic and overseas, in a multitude of industries, including new media, entertainment, manufacturing, textile, healthcare and venture capital. 

 

Stephen’s extensive experience in the corporate world has included counseling on corporate governance, internal structuring and partnership agreements, corporate finance agreements, corporate formation and operating agreements, employment matters, licensing issues and mergers and acquisitions.  It is that broad experience which has made Stephen such a trusted legal and business advisor to his clients.  His representation of venture capital funds and issuers gives him a particular expertise with respect to finance (debt and equity) and the private placement of securities.  Stephen has published many articles in the film financing as well as in the bankruptcy space as it relates to licensing agreements.      
 

Prior to returning to private practice in 2012, Stephen served as Senior Counsel to Mitsui & Co. (U.S.A.), Inc., the U.S. subsidiary of one of Japan’s pre-eminent multi-national corporations.  While with Mitsui, Stephen oversaw all legal work related to Mitsui’s various divisions, including those with interests in the film industry, as well as the bio-technology, healthcare and consumer products business sectors.  In addition, Stephen represented Mitsui and other clients in international joint ventures/cross border transactions involving new media, overseas manufacture and the import and export of various high-tech and other products.

 

Before joining Mitsui Stephen worked as an associate at Peabody & Brown in Boston and Golenbock & Barell in New York, focusing on private placements and securities work for private and publicly held entities.    

 

Stephen received his undergraduate degree from Brandeis University and his Juris Doctor from Boston University School of Law.

 

Stephen is a member of the New York and Massachusetts State Bars, and he resides in New York City.
